Board of Directors

For the proper functioning of the company, several people sit on Énergir's Board and help the various decisions. The members of the Board of Directors are :

Ghislain Gauthier - Chairman of the Board

A graduate in administration from the Université du Québec à Chicoutimi, Mr. Ghislain Gauthier is also a Chartered Financial Analyst (CFA). Following a few years with the Business Development Bank of Canada and Export Development Canada, Mr. Gauthier joined the Caisse de dépôt et placement du Québec in 1982 where he worked primarily in private placements. While at the Caisse, he has been responsible for the management and growth of a substantial North American and European portfolio of corporate securities in the energy and infrastructure sectors. From January 2010 to September 2013, he was Chief Investment Officer of Citi Infrastructure Investors in New York and was Chair of its Investment Committee. Mr. Gauthier has been a director of many corporations, including BAA Plc (London), Vantage Airport Group (Vancouver) and Itinere Infraestructuras, S.A. (Madrid). He is also a member of the Board of Directors and of the Investment Committee of Fiera Infrastructure and of Standard Solar inc.

Éric Lachance - President and Chief Executive Officer, Énergir

Mr. Éric Lachance joined Énergir in January 2017 as Vice President, Finance and was appointed Senior VicePresident, Regulatory, IT, Logistics and Chief Financial Officer on June 1, 2018. After holding these positions in the company, he became President and Chief Executive Officer, position he is holding since January 1st, 2020. From February 2000 to December 2016, he held various positions at Caisse de dépôt et placement du Québec, the last 3 years as Regional Director – Europe within its subsidiary CDPQ Paris where he led the team responsible for ensuring the supervision and valuation of the Caisse’s European infrastructure investment portfolio. He represented Caisse as a board member for many portfolio companies such as Fluxys Belgium, Colonial Pipeline, Keolis and Heathrow Airport.

Mr. Lachance holds a degree in business, finance and economics from McGill University and has been a chartered financial analyst since 2000.

Renaud Faucher

Mr. Renaud Faucher joined the Caisse de dépôt et placement du Québec in 2006. He is currently Managing Director, Infrastructure, where he is responsible for the management of infrastructure investments in North America. From 1986 to 1990, Mr. Faucher worked, as an engineer, on the construction management of infrastructure projects in Canada and Europe, including the Channel Tunnel project. From 1992 to 1998, Mr. Faucher worked on the financing and management of independent power plants across Canada. From 1998 to 2006, he held different positions within wholly owned international subsidiaries of Hydro-Québec as Director Investments, Vice President Finance and Vice President Risk Management. Mr. Faucher sits on the Boards of Noverco (2014 and Chairman of the Board since 2015), Colonial Pipeline (2014), Southern Star Central Gas Pipeline (2018 and Chairman of the Board since 2019), Vertical Bridge REIT, LLC (2019) and Énergir Development Inc. (President of the Board since 2019). Previously, Mr. Faucher was a member of the LLC Committee of Cross-Sound Cable Company LLC (a submarine power cable between Connecticut and Long Island, NY, 2003-2006), a director of Sedna (long-term healthcare services provider in Québec, 2006-2007), of Southern Star Central Gas Pipeline (an interstate pipeline in the United States, 2006-2009), of Noverco (a holding company with investments in Energir Inc., 2006 2009), of AviAlliance Capital (formerly Hochtief Airport Capital in Germany, 2010-2014), on the Supervisory Board of Budapest Airport (2011-2014), of Heathrow Airport Holdings Limited (2006-2014, with 4 years as chair of the Audit Committee), on the members committee of Invenergy Wind LLC (2014-2017), of AES U.S. Investments Inc., of IPALCO (holding companies of Indianapolis Power and Light Company 2015-2019) and of REM Commandité Inc. (2018-2021). Mr. Faucher holds a Bachelor's in Civil Engineering from École Polytechnique de Montréal, an MBA from Concordia University and a DESS (specialized graduate diploma) in Accounting from ESG UQAM. He is a member of the Ordre des Ingénieurs du Québec, of the Ordre des CPA du Québec and of the Institute of Corporate Directors (ICD).

Jean-Luc Gravel

Mr. Jean-Luc Gravel is Strategic Advisor to the President at the Caisse de dépôt et placement du Québec (“CDPQ”). In this role, he supports the President and Chief Executive Officer to steer CDPQ’s orientations and design growth strategies. Mr. Gravel was Executive Vice-President, Equity Markets with the Investment Management group of CDPQ between 2009 and 2018. In this role, he developed strategies and explored new opportunities for all CDPQ’s equity market activities. A Chartered Financial Analyst (CFA) and a Fellow of the Canadian Securities Institute, he began his career in the financial industry in 1982. He began as an analyst, and later held management positions in large financial institutions established in Montréal, including Nesbitt Burns, Newcrest Capital and TD Newcrest Securities. He has also been a financial reporter for the investment section of the newspaper Les Affaires. He worked at CDPQ for two years in the 1980s and later returned in 2004, where he held the position of Senior Vice-President, Canadian Equity, until 2009, overseeing a team of 25 portfolio managers and financial analysts. He has a Master of Business Administration from the University of Ottawa and holds a Bachelor of Science from the Université de Sherbrooke. Mr. Gravel sits on the Board of Directors of First Eagle Holdings, an American corporation. He was a member of the Board of Directors of the Montréal Exchange from 1995 to 1998 and of the International Financial Centre of Montréal (IFC Montréal) from 2010 to 2016.

Jean-Christophe Lincourt-Ethier

Mr. Jean-Christophe Lincourt-Ethier joined the Caisse de dépôt et placement du Québec (“CDPQ”) in 2012. He is currently Director, Infrastructures where he is responsible for the management of investments in North America in the energy sector and public transport.

From 2015 to 2018, he participated in the creation of the CDPQ Infra subsidiary and in the development of the Réseau express métropolitain (“REM”): a 67 km light rail metro in the greater Montreal area. From 2018 to 2021, he took over the financial operations of the REM in addition to sitting on the boards of directors of REM Commandité inc., Réseau express métropolitain inc. and InfraMTL Inc. as an executive.

Before joining the CDPQ, Mr. Lincourt-Ethier participated in the financing of infrastructure projects at SNC-Lavalin Capital, including the Restigouche Hospital Center in New Brunswick, the Highway 407 Extension in Ontario and the McGill University Health Centre in Montreal.
Mr. Lincourt-Ethier holds a bachelor's degree in business administration, specializing in finance and accounting, from HEC Montréal and has been a member of the Ordre des CPA du Québec.

Mary Powell

Mary Powell is nationally recognized as an energy visionary, as CEO of Green Mountain Power from 2008 to 2019 she positioned the company as a leading energy transformation company. Delivering clean, cost-effective and highly reliable power to customers all across Vermont, GMP offers cutting-edge products and service to reduce costs and carbon. For the third year in a row, GMP earned a top spot among the top ten most innovative energy companies in the world, landing at number five in Energy as Fast Company released its prestigious list of the World’s Most Innovative Companies for 2019. GMP has achieved one of the top scores for mid-sized utilities in the East Region in J.D. Power’s 2018, 2017 and 2016 electric utility residential customer satisfaction study.

Mary initiated and implemented a strategic and comprehensive restructuring of the company that dramatically transformed GMP, and she has been the backbone of a cultural transformation and service quality improvement. Fast, fun, and effective is her motto. Under Mary’s leadership, GMP became the first utility in the world to become a member of B Corp, showing a commitment to use energy as a force for good.

Mary has delivered on an ambitious energy vision to provide low-carbon, low-cost and highly reliable power to Vermonters. As a result, GMP became the first utility to offer to help customers go off-grid, to provide shared storage services in their homes, built Vermont’s largest wind farm, made Rutland, Vermont, the Solar Generation Capital of New England, and installed smart grid technology across GMP’s service territory.

In 2012, Mary led the acquisition of Central Vermont Public Service, with a promise to generate $144 million in savings for customers. GMP has grown from serving 88,000 customers in 2008 to serving over 260,000 customers, with revenues of more than $640 million and $2 billion in assets.

And in 2015, Mary led another partnership with Tesla, with GMP becoming the first utility anywhere to offer customers the Tesla Powerwall battery.

In 2019, Utility Dive named Mary Executive of the Year for delivering storage to customers and being a top disruptor and innovator. In 2018 and 2017, Mary was named one of the top 25 Most Influential Women of the Mid-Market by CEO Connection. And Conscious Capitalism Media named Mary Powell to its 2018 list of 30 World-Changing Women in Conscious Business. In 2016 Fast Company named Mary one of the 100 most creative people in business, and in 2015 The Burlington Free Press named her Vermonter of the Year. In 2014, Mary was recognized by PowerGen as the Woman of the Year.

Prior to joining GMP in 1998, Mary served as a banking executive, an operations executive in the mutual fund industry, as a leader within state government and has founded two businesses, one that was just recently recognized by Oprah Winfrey on her annual “favorite things” list.

Marie-Pier St-Hilaire

Founder of AFI Expertise (since 2000) and CEO of Edgenda (since 2017), Marie-Pier St-Hilaire is reinventing the traditional world of organizational transformation consulting by placing skills development at the heart of business strategies. She inspires organizations to rethink their know-how and soft skills as well as adapt and grow in a thriving digital environment. She pursues the company’s mission by bringing together technology and people to develop the full potential of individuals, teams, and organizations.

Over the past 20 years, she has been able to achieve her entrepreneurial vision and produce organic, continuous, and profitable growth for her company. She has also led several acquisitions, including that of Apprentx, which, with its B12 application, has consolidated the group's position as the Canadian leader in skills development.

She is a graduate of Université Laval and of the Owner/President Management Program at Harvard Business School. In 2020, she became a certified business coach and started professionally accompanying other leaders in their growth processes. She also shares her time and expertise as a speaker, volunteer, and member of various boards of directors.

Keri Sweet Zavaglia

Ms. Keri Sweet Zavaglia serves as the U.S. General Counsel for National Grid, one of the largest investor-owned energy companies in America serving more than 20 million people throughout New York and Massachusetts. In this capacity, she is responsible for all corporate, commercial, governance, litigation, employment, finance and securities, real estate, and federal and state regulatory legal matters across the company’s service territory. Prior to this role, Ms. Sweet Zavaglia served as the Vice President, Performance and Strategy for National Grid's three New York operating companies and as the Acting Vice President of Upstate New York Gas Operations. While in operations, Ms. Sweet Zavaglia was responsible for ensuring the safe and reliable operation of 9,000 miles of natural gas pipeline and the maintenance and construction of assets serving more than 600,000 customers. Prior to joining National Grid in 2006, Ms. Sweet Zavaglia served as an Assistant District Attorney in Philadelphia in the Repeat Offenders Unit.

Ms. Sweet Zavaglia was recently named by the National Diversity Council to its 2022 Power 50 list. She serves on the Board of Directors of the St. Joseph’s Health Hospital and the United Way of Central New York; is a member of Executive Women in Energy; and serves on the legal committees of multiple industry organizations. She was the Chair of the American Heart Association’s 2022 CNY Heart Challenge and serves as member of the Executive Leadership team.

Ms. Sweet Zavaglia earned her Juris Doctorate from Temple University Beasley School of Law and holds a Bachelor of Arts in Journalism also from Temple University.

Delphine Persouyre

Delphine Persouyre joined CDPQ (Caisse de dépôt et placement du Quebec) in October 2022 as an Operational Partner in the Infrastructure group. She is based in Montreal and is mainly focused on North American assets.

Before joining CDPQ, Delphine worked for 20 years in the energy sector. She has held various support functions in finance, strategy, purchasing and IT as well as operational functions internationally. From 2019 to 2022, Delphine was President and General Manager of TotalEnergies Marketing Canada, a subsidiary dedicated to the production and distribution of lubricants in Canada. She was also Country Chair of TotalEnergies in Canada and in charge of the development of renewable energies in the country.

Delphine graduated from HEC Paris. Among her community involvements, she sits on the Board of Directors of Les Petits Frères, an organization dedicated to the cause of isolated seniors in Quebec. Delphine is also a Board Member of the CCIFC (Chamber of Industry and Commerce of France in Canada). In 2021, she received the distinction of Chevalier de l’Ordre National du Mérite (France).
